Welcome to OceanEx Global LLC (“OceanEx”, “we”, “our”, or “us”). These Terms and Conditions of Use (“Terms of Use”) govern your access to and use of the website of OceanEx Global LLC (OceanEx) located at oceanexglobal.com and its subdomains (collectively, the “Site”); and any and all services, deliverables, and contractual engagements provided by OceanEx in the maritime, logistics, auditing, engineering, and its services, and associated domains (collectively, the “Services”).
By using the Site or engaging with OceanEx for services, you agree to be legally bound by these Terms of Use. IF YOU DO NOT AGREE WITH THESE “TERMS OF USE”, YOU MUST NOT USE THE SITE OR REQUEST SERVICES.
1. Ownership and Access Rights
The Site and all materials contained within it are owned by OceanEx and/or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Site for informational and lawful purposes only.
OceanEx reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes.
2. Contents of the Site and Rights
All content and materials appearing on or made available through the OceanEx website, including but not limited to text, visual design, graphics, logos, trademarks, service marks, icons, software code, scripts, audio, video, photographs, technical documentation, layout, and overall “look and feel” (collectively, “Content”) are the exclusive property of OceanEx Global LLC or its licensors. These materials are protected by United States intellectual property laws, including copyright, trademark, trade dress, and patent laws, as well as applicable international treaties and unfair competition statutes.
Except as explicitly permitted under these Terms of Service, no part of the Site or its Content may be copied, reproduced, republished, downloaded, uploaded, posted, publicly displayed, translated, encoded, mirrored, stored, transmitted, broadcast, or distributed in any form or by any means including but not limited to electronic, mechanical, photocopying, recording, or otherwise for any commercial or public purpose without the prior express written permission of OceanEx.
OceanEx grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Content solely for informational and personal, non-commercial purposes, on condition that you (1) must not remove or alter any proprietary rights notices or disclaimers contained in or on the materials, (2) may not modify, edit, reverse engineer, or create derivative works of the materials or software, (3) may not distribute or publicly reproduce the materials on any network, server, media platform, or in any external publication without written authorization, (4) shall not make any express or implied warranties or representations regarding the accuracy, completeness, or suitability of the materials for third-party use.
Any unauthorized use of the Content or violation of these restrictions constitutes a breach of contract and an infringement of OceanEx’s intellectual property rights, and may result in civil and criminal liability to the fullest extent allowed under applicable law, including the laws of the State of Louisiana and federal U.S. statutes.
3. Use of the Site
You may not use, deploy, or enable any automated means, including but not limited to robots, spiders, crawlers, scrapers, data-mining tools, or other automated devices, algorithms, or methodologies, to access, acquire, monitor, copy, or extract any part of the OceanEx website, platform, services, or content, except for standard indexing performed by publicly available search engines for the purpose of appearing in search results. You further agree not to use any device, software, or routine to interfere with, or attempt to interfere with, the proper functioning of the Site.
You may not, under any circumstances, attempt to gain unauthorized access to any part of the OceanEx website, its servers, user accounts, administrative systems, databases, or any other infrastructure or networks connected to the Site. This includes, but is not limited to, access attempts by:
- Hacking, password harvesting, keylogging, or credential spoofing
- Exploiting software vulnerabilities or injecting malicious code
- Circumventing or bypassing authentication mechanisms or access controls
- Engaging in denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks
- Impersonating OceanEx personnel or forging digital headers and identifiers
Without limitation, the following actions are strictly prohibited:
- Downloading, harvesting, or copying any structured or unstructured data (including service descriptions, contact information, pricing, images, or written content) for use in any competing or derivative service.
- Cloning or replicating any part of the Site for the creation of mirror websites or content aggregation tools.
- Circumventing any access restrictions, CAPTCHA protections, or rate-limiting measures.
- Using headless browsers or browser automation tools (e.g., Puppeteer, Playwright, Selenium) to simulate real user activity for the purpose of data extraction.
Any such use constitutes a material breach of these Terms of Use and a violation of federal and state intellectual property laws, including the Computer Fraud and Abuse Act (CFAA) and Digital Millennium Copyright Act (DMCA).
OceanEx reserves the right to take immediate legal action, including but not limited to:
- IP bans
- Cease-and-desist notices
- DMCA takedown submissions
- Civil claims for injunctive relief and monetary damages
You agree to fully indemnify, defend, and hold harmless OceanEx Global LLC and its affiliates, officers, and agents from any claims, costs, liabilities, or legal actions resulting from your breach of this provision.
4. Professional Services
OceanEx Global LLC provides professional services and deliverables across the global maritime, technical, inspection, logistics, engineering, and energy sectors. By accessing this Site or entering into any form of engagement with OceanEx, you acknowledge and agree that:
- All service engagements, whether initiated online or offline, are governed by these Terms and any supplemental agreement, proposal, scope of work, or project order executed between you and OceanEx.
- OceanEx reserves the unrestricted right to delegate, subcontract, or outsource any portion of its services to qualified third-party professionals, firms, contractors, or service providers (“Authorized Agents”) in its sole discretion, whether located in the United States or abroad/globally.
- All Authorized Agents shall operate under the management and direction of OceanEx. Their actions, deliverables, communications, and omissions in connection with any contracted service shall be deemed acts of OceanEx for legal purposes, unless otherwise expressly agreed in writing.
- You irrevocably acknowledge and agree that all such subcontracted work is afforded the same legal disclaimers, limitations of liability, confidentiality obligations, and indemnity protections described in these Terms of Use as those applicable to OceanEx and its internal personnel.
- To the fullest extent permitted by applicable law, you agree to hold harmless and indemnify OceanEx Global LLC, its officers, directors, employees, contractors, subcontractors, affiliates, and agents from and against any and all claims, damages, liabilities, costs, losses, penalties, or proceedings, whether direct or indirect, known or unknown, foreseeable or unforeseeable arising out of or relating to:
- Any service or engagement performed by OceanEx or its Authorized Agents;
- Any reliance by you or a third party on advice, reports, findings, or opinions provided;
- Any dispute regarding the use or performance of third-party personnel or consultants involved in the execution of services.
- This clause shall remain in effect irrespective of the governing jurisdiction of a dispute and shall be enforceable in any venue, forum, or tribunal, whether civil, commercial, maritime, or administrative, where a claim may be brought.
5. No Warranty
All Services and information provided by OceanEx are delivered “as is” and “as available.” We do not guarantee:
- Uninterrupted access to the Site
- The accuracy, completeness, or timeliness of information provided
- That Services will yield specific business, commercial, or legal outcomes
To the maximum extent permitted by law, OceanEx disclaims all express or implied warranties, including fitness for a particular purpose and merchantability.
6. Indemnification and Liability
To the fullest extent permitted by applicable law, you agree to hold harmless and indemnify OceanEx Global LLC, its officers, directors, employees, contractors, subcontractors, affiliates, and agents from and against any and all claims, damages, liabilities, costs, losses, penalties, or proceedings (including attorneys’ fees), whether direct or indirect, known or unknown, foreseeable or unforeseeable arising out of or relating to use of Site or Services, including acts of third parties or subcontractors involved in a project initiated by you :
- Any service or engagement performed by OceanEx or its Authorized Agents;
- Any reliance by you or a third party on advice, reports, findings, or opinions provided;
- Any dispute regarding the use or performance of third-party personnel or consultants involved in the execution of services.
This clause shall remain in effect irrespective of the governing jurisdiction of a dispute and shall be enforceable in any venue, forum, or tribunal, whether civil, commercial, maritime, or administrative, where a claim may be brought. This indemnity remains in force regardless of OceanEx’s own negligence or fault, and includes acts of omission, reliance on information provided by you, or execution of instructions originating from you.
7. Accounts and Security
If any portion of the Site requires user registration or account creation, you are solely responsible for maintaining the confidentiality of your login credentials and all activity conducted under your account. OceanEx is not liable for any unauthorized use unless resulting from its own gross negligence or willful misconduct.
8. Privacy
All information collected through the Site or during service engagement, and use of this Site is subject to our Privacy Policy. By using this Site, you acknowledge and accept that internet communications are not completely secure or private, and any data you transmit is done so at your own risk. You understand that various data, other related information, confidential information, and financial details may be read or intercepted by others, even if there is a posted notice that a particular transmission is secured and encrypted.
9. Third-Party Links and Contractors
The Site may contain links to external websites for convenience. OceanEx does not control or endorse such third-party sites and assumes no responsibility for their content. Where third-party subcontractors are engaged for project execution, OceanEx is not liable for their independent conduct outside the scope of their assigned duties.
10. Termination and Enforcement
We may suspend or terminate your access to the Site or any Service for breach of these Terms of Use, for legal or regulatory reasons, if requested by law enforcement. Due to operational constraints, you agree that breach of these Terms of Use may result in irreparable harm, and OceanEx shall be entitled to seek injunctive or equitable relief without posting a bond, in addition to other remedies.
11. Governing Law and Jurisdiction
You agree that all matters relating to your access to or use of the Site, including all disputes, will be governed by the laws of the United States and by the laws of the State of Louisiana without regard to its conflicts of laws provisions. You agree to the personal jurisdiction by and venue in the state and federal courts in St. Tammany Parish, Louisiana, and waive any objection to such jurisdiction or venue. Any claim under these Terms of Use must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred. Any dispute shall first be attempted to be resolved in good faith through negotiation. If unresolved within 30 days, then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, then the matter shall proceed to binding arbitration under the rules of the American Arbitration Association (AAA).
12. Limitation of Liability
To the fullest extent permitted by applicable law, including the laws of the State of Louisiana, United States, OceanEx and its directors, officers, affiliates, employees, contractors, licensors, and agents shall not be liable for any damages of any kind, including but not limited to:
- Direct, indirect, incidental, punitive, special, exemplary, or consequential damages
- Loss of revenue, business, profits, or anticipated savings
- Interruption of service, data loss, loss of goodwill, or reputational harm
- Damages arising out of or related to the acts or omissions of subcontractors or third parties
- Any damages arising from reliance on content, project deliverables, recommendations, or professional opinions
This disclaimer applies to all causes of action, whether in contract, tort, negligence, strict liability, statute, equity, or otherwise, and includes damages arising from:
- Failure of performance
- Data corruption or deletion
- Unauthorized access, hacking, or data breaches
- System outages, delays, denial-of-service attacks
- Any reliance on technical assessments or professional opinions offered through OceanEx services
13. Disclaimers
OceanEx Global LLC (“OceanEx”) does not represent, warrant, or guarantee that the Site, any content, features, digital tools, downloadable materials, or services offered by or through this Site will be uninterrupted, error-free, free of harmful components, or suitable for your specific needs, applications, or intended outcomes.
The OceanEx website and all services, content, documents, recommendations, and deliverables provided through it, whether informational, technical, or operational in nature, are made available strictly on an “AS IS” and “AS AVAILABLE” basis without any representations or warranties of any kind, express or implied.
Without limiting the generality of the foregoing, OceanEx expressly disclaims all warranties, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Accuracy, completeness, or timeliness of content
- Non-infringement of proprietary rights
- System or data security guarantees
- Availability or usability of linked or third-party sites
- Suitability for regulatory, contractual, or navigational compliance
OceanEx makes no assurances that any content, download, file, or data available from this Site will be free of viruses, malware, corruption, or other destructive properties. You acknowledge that it is your sole responsibility to implement adequate security protocols and data backups before relying on or downloading any materials.
14. General Provisions
Severability: If any provision is held invalid, the remainder shall remain in effect.
Entire Agreement: These Terms of Use, along with any signed agreements or work orders, constitute the full understanding between the parties.
Force Majeure: OceanEx shall not be liable for failure to perform due to causes beyond its reasonable control.
No Waiver: OceanEx’s failure to enforce any provision does not constitute a waiver of its rights.
If you are dissatisfied with the Site, any content, or any Service provided by OceanEx, your sole and exclusive remedy is to discontinue use of the Site or terminate your engagement with OceanEx. This limitation of relief is a material condition of your use and constitutes part of the bargained-for consideration between you and OceanEx.
